Terms of Use and End User License Agreement

These Terms of Use and End User License Agreement ("Terms") govern access to and use of solution assets provided by CO-ON through Databricks Marketplace, the CO-ON website, or other business channels.
By accessing, downloading, installing, cloning, evaluating, or using any CO-ON solution asset, you accept these Terms on behalf of yourself and, where applicable, the organization you represent. If you do not agree to these Terms, do not access or use the solution asset.

2. Scope of the Solution Assets
CO-ON may provide solution accelerators, notebooks, templates, workflows, AI agents, MCP servers, models, documentation, code, configuration patterns, demo materials, or related content (collectively, "Solution Assets").
CO-ON Solution Assets are designed to help organizations build structured data foundations and improve business processes before scaling advanced AI and agent-based use cases. Typical use cases may include:
- process discovery and structured process description;
- process optimization and operating model analysis;
- ERP, CRM, procurement, sales, finance, HR, warehouse, and workflow analysis;
- data foundation design, data quality patterns, and analytical workflows;
- AI-assisted decision support and agentic workflows built on governed enterprise data;
- Databricks-based solution accelerators for business process intelligence.
Each Databricks Marketplace listing may include additional details, documentation, access conditions, update frequency, technical requirements, and support terms. If a specific listing or written agreement conflicts with these Terms, the more specific listing or agreement controls for that Solution Asset.
3. Relationship with Databricks
Databricks Marketplace is a platform through which CO-ON may make Solution Assets discoverable or accessible. CO-ON is an independent provider and is not Databricks.
Use of Databricks, Databricks Marketplace, Unity Catalog, Delta Sharing, Model Serving, Mosaic AI, notebooks, workspaces, or any other Databricks service remains subject to the applicable Databricks terms and customer agreements.
CO-ON is responsible only for the Solution Assets it provides. CO-ON does not control the Databricks platform, customer workspaces, customer data infrastructure, or third-party services unless expressly agreed in writing.
4. License Grant
Subject to these Terms and any applicable listing or order terms, CO-ON grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Solution Assets for your internal business purposes.
Unless expressly permitted in a specific listing or written agreement, you may not:
- resell, redistribute, publish, sublicense, or make the Solution Assets available to third parties as a standalone product;
- remove copyright, attribution, proprietary notices, or license references;
- use the Solution Assets to build a competing marketplace listing or substantially similar commercial template for resale;
- use the Solution Assets for unlawful, harmful, deceptive, discriminatory, or infringing purposes;
- use the Solution Assets in a way that violates Databricks terms, third-party licenses, or applicable laws;
- attempt to bypass access controls, security mechanisms, usage restrictions, or technical safeguards;
- upload or process personal, confidential, regulated, or sensitive data in demo materials unless you have the legal authority and appropriate controls to do so.
You may adapt notebooks, workflows, prompts, configuration examples, and process templates for your internal implementation, provided that CO-ON's underlying intellectual property and notices remain protected.
5. Customer Data and Responsibility
You retain all rights to your own data, business information, processes, configurations, and outputs generated within your environment ("Customer Data").
You are responsible for:
- the legality, quality, accuracy, and governance of Customer Data;
- ensuring that you have the rights and legal basis to process Customer Data;
- configuring access controls, security, retention, monitoring, and auditability in your Databricks environment;
- validating the technical and business suitability of Solution Assets before production use;
- implementing human review and governance for AI-assisted outputs or agentic workflows.
Unless expressly agreed in writing, CO-ON does not access, store, copy, host, or control Customer Data processed inside your Databricks workspace.
6. AI Agents and Process Optimization Outputs
Some Solution Assets may use AI, machine learning, large language models, agents, prompts, tools, or automated reasoning to describe, analyze, classify, or optimize business processes.
AI-assisted outputs may be incomplete, inaccurate, biased, outdated, or unsuitable for a specific business context. You must independently review, test, validate, and approve all outputs before relying on them.
Solution Assets are intended to support decision-making, not replace human judgment. They must not be used as the sole basis for decisions that may have legal, financial, employment, health, safety, regulatory, or similarly significant effects without appropriate human oversight and compliance review.
CO-ON does not guarantee specific cost savings, productivity improvements, process outcomes, model performance, regulatory compliance, or commercial results.
7. Marketplace Data and Personal Data
Unless expressly stated otherwise, CO-ON Solution Assets are designed not to include personal data. Sample datasets should be synthetic, anonymized, aggregated, or otherwise non-personal.
You must not provide CO-ON with special categories of personal data, sensitive personal data, regulated data, or confidential production data unless a specific written agreement, data processing agreement, and appropriate safeguards are in place.

8. Third-Party Components
Solution Assets may reference, depend on, or integrate with third-party software, open-source components, APIs, libraries, Databricks services, Odoo, cloud services, or other external tools.
Third-party components are governed by their own licenses and terms. You are responsible for ensuring that your use of third-party components complies with those terms.
CO-ON does not provide warranties for third-party services, libraries, platforms, APIs, or data sources.
9. Fees and Commercial Terms
Some Solution Assets may be free, while others may require payment, approval, a separate order, or a separate business agreement.
Fees, payment terms, usage limits, renewal terms, cancellation terms, and taxes, if applicable, will be specified in the relevant Marketplace listing, order form, proposal, or written agreement.
Unless expressly stated otherwise, access to a free or evaluation Solution Asset does not include custom consulting, implementation, support, maintenance, or production guarantees.
10. Support, Updates, and Availability
Support, maintenance, updates, and documentation are provided as described in the relevant listing or written agreement.
CO-ON may modify, improve, suspend, discontinue, or delist a Solution Asset. Where required for active customers and where reasonably possible, CO-ON will provide at least 30 days' notice before discontinuing a Solution Asset.
CO-ON is not responsible for interruptions or limitations caused by Databricks, cloud providers, customer infrastructure, third-party services, network issues, customer configuration, or events outside CO-ON's reasonable control.
11. Intellectual Property
CO-ON and its licensors retain all rights, title, and interest in and to the Solution Assets, including methodologies, code, templates, prompts, workflows, documentation, process models, know-how, and related intellectual property.
These Terms do not transfer ownership of CO-ON intellectual property to you. You receive only the limited license expressly granted in these Terms or in a specific written agreement.
You retain ownership of Customer Data and customer-specific configurations or outputs, subject to CO-ON's rights in the underlying Solution Assets.
Feedback, suggestions, or improvement ideas you provide may be used by CO-ON to improve its products and services without obligation, provided that CO-ON does not disclose your confidential information.
12. Confidentiality
If either party receives non-public business, technical, or commercial information from the other party in connection with the Solution Assets, the receiving party must use reasonable care to protect that information and may use it only for the purpose for which it was provided.
This obligation does not apply to information that is public, independently developed, lawfully received from a third party, or required to be disclosed by law.
13. Compliance
You are responsible for using the Solution Assets in compliance with all applicable laws and regulations, including data protection, intellectual property, export control, cybersecurity, labor, tax, sector-specific, and AI governance requirements.
You must not use Solution Assets to create, promote, or enable illegal, harmful, discriminatory, misleading, or unsafe activities.
14. Warranty Disclaimer
To the maximum extent permitted by applicable law, Solution Assets are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise.
CO-ON does not warrant that Solution Assets will be uninterrupted, error-free, secure, compatible with every environment, suitable for every business process, or capable of achieving any specific technical, operational, financial, or compliance outcome.
Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.
15. Limitation of Liability
To the maximum extent permitted by applicable law, CO-ON is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, business interruption, reputational damage, or loss of anticipated savings.
To the maximum extent permitted by applicable law, CO-ON's total aggregate liability arising out of or relating to a Solution Asset is limited to the amounts paid by you to CO-ON for that specific Solution Asset during the 12 months preceding the event giving rise to liability. For free Solution Assets, CO-ON's aggregate liability is limited to EUR 100.
Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot be limited under applicable law.
16. Indemnity
You agree to defend, indemnify, and hold CO-ON harmless from claims, damages, losses, liabilities, costs, and expenses arising from:
- your misuse of the Solution Assets;
- your Customer Data;
- your violation of these Terms, third-party rights, Databricks terms, or applicable laws;
- your production implementation, configuration, or business decisions based on the Solution Assets.
17. Termination
CO-ON may suspend or terminate access to a Solution Asset if you materially breach these Terms, violate applicable law, misuse the Solution Asset, infringe intellectual property rights, or create security, legal, or reputational risk.
Upon termination, you must stop using the affected Solution Asset and delete or stop using any copies, except where retention is required by law or permitted by a separate written agreement.
Sections that by their nature should survive termination will survive, including intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.
18. Changes to These Terms
CO-ON may update these Terms from time to time. The updated version will be published on the CO-ON website or referenced in the relevant listing with a new "Last updated" date.
Material changes will not retroactively reduce rights already granted for a paid fixed-term Solution Asset unless required by law or necessary for security, compliance, or platform policy reasons.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of Italy, without regard to conflict of laws rules.
For business users, any dispute arising out of or relating to these Terms or the Solution Assets will be subject to the exclusive jurisdiction of the courts of Modena, Italy, unless mandatory law provides otherwise.
